Terms of Service

Acceptance of Terms

By accessing or using Crate WMS ("Crate", "the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using Crate on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.

Description of Service

Crate is a cloud-based warehouse management system that provides inventory tracking, supplier management, purchase order management, goods receiving, and warehouse operations tools. The Service includes access to the web application, REST APIs, and related documentation. Features available to you depend on your subscription plan.

Account Registration

When creating an account, you agree to:

• Provide accurate, current, and complete registration information
• Keep your login credentials secure and confidential
• Maintain one account per user — do not share accounts between individuals
• Notify us immediately of any unauthorized use of your account

You are responsible for all activity that occurs under your account.

Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Reverse engineer, decompile, or disassemble any part of the Service
• Exceed published API rate limits or attempt to circumvent usage restrictions
• Store prohibited, illegal, or harmful content in the Service
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to the Service or its related systems

Data Ownership

You retain all ownership rights to the data you store in Crate, including inventory records, supplier information, purchase orders, and warehouse configurations. We do not claim any intellectual property rights over your data.

By using the Service, you grant Crate a limited license to host, process, store, and display your data solely for the purpose of providing and improving the Service. This license terminates when you delete your data or close your account.

Service Availability

We use commercially reasonable efforts to make Crate available 24/7. However, the Service may be temporarily unavailable due to scheduled maintenance, upgrades, or circumstances beyond our control. We will provide reasonable advance notice of planned maintenance windows. For uptime commitments, refer to our Service Level Agreement.

Pricing and Payment

Crate is currently free during the early access period. When pricing is introduced, we will provide at least 30 days' advance notice to existing users.

Pricing is subject to change. Any changes to pricing will be communicated via email and will apply at the start of the next billing cycle following the notice period.

Termination

Either party may terminate this agreement at any time. Upon termination:

• Your data will be available for export for 30 days after termination
• After the 30-day export window, your data will be permanently deleted
• We may terminate or suspend your account immediately for violations of these Terms
• Termination does not relieve you of any payment obligations incurred prior to termination

Limitation of Liability

To the maximum extent permitted by applicable law, Crate and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to Crate in the twelve months preceding the claim.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in India.
